These Terms & Conditions (“Terms”) apply to the hospisourcing.com platform (the “Platform”). HospiSourcing is a business platform operated by S-DESIGN, a business registered in Bosnia and Herzegovina. In these Terms, “HospiSourcing”, “we”, “us” and “our” refer to the Platform operated by S-DESIGN. By using the Platform, you agree to these Terms.
1. Scope of the service
HospiSourcing is a B2B sourcing and procurement platform for the hospitality industry. We help hospitality businesses and their procurement teams find suppliers, manufacturers and distributors. Buyers can submit sourcing or procurement requirements; we review them, approach relevant suppliers and help compare the offers that come back. Suppliers can apply to join our supplier network and receive relevant requests.
We may add, change or remove features over time. The Platform is intended for business use and not for consumer purchases.
2. Eligibility
You may use the Platform only if you are at least 18 years old and are using it for business purposes. If you use the Platform on behalf of a company, you confirm that you are authorised to act for that company and to bind it to these Terms.
3. Accounts and registration
The Platform currently works through request and application forms and does not require you to create an account. If we introduce accounts in the future, you will be responsible for providing accurate registration details, keeping your credentials confidential and notifying us promptly of any unauthorised use. You are responsible for activity carried out through your account.
4. Our role in transactions
HospiSourcing is a platform that connects buyers and suppliers. We are not a party to any agreement, order or transaction between a buyer and a supplier.
Any agreement for the supply of goods or services is made directly between the buyer and the supplier on terms they agree between themselves. HospiSourcing does not buy or sell goods, does not take title to any products and does not act as an agent for either party unless we expressly agree otherwise in writing.
We do not guarantee product quality, product availability, the accuracy of supplier offers, delivery, lead times, prices, certifications or a supplier's compliance with applicable law. We do not guarantee that a supplier will be suitable for your requirements or that a business relationship will result from an introduction. You are responsible for carrying out your own checks before entering into an agreement, including confirming specifications, compliance, insurance and terms.
5. Buyer responsibilities
- Provide accurate and complete information in your procurement requests, including quantities, specifications and delivery locations.
- Make your own assessment of any offer and any supplier before you commit to a purchase.
- Ensure you have the right to share any documents, drawings or specifications you upload.
6. Supplier responsibilities and submitted content
- Provide accurate information about your company, products, certifications, minimum order quantities and delivery coverage.
- Ensure that any content you submit, including catalogues, images and product data, is accurate, lawful and does not infringe the rights of any third party.
- Only quote for products and services you are genuinely able to supply on the terms you state.
7. Accuracy and limited review
Information submitted by buyers and suppliers is provided by them. We do not verify every statement made by users, and any review or check we carry out is limited to what is practical for a sourcing service. Inclusion on the Platform is not an endorsement, certification or guarantee of a supplier, a buyer or their products.
8. Fees and payment
Any paid service, fee, invoice or payment connected to the Platform is provided by S-DESIGN as the operator of HospiSourcing. Where a paid engagement is agreed, it is contracted with S-DESIGN and any invoice or payment is issued by S-DESIGN. We will make the applicable commercial terms clear before you commit to a paid service.
9. Acceptable use
You agree not to:
- use the Platform for unlawful, fraudulent or misleading purposes;
- submit content that is false, defamatory, discriminatory, obscene or that infringes intellectual property or privacy rights;
- upload malware, attempt to gain unauthorised access to the Platform or interfere with its operation;
- scrape, harvest or bulk-extract data or contact details from the Platform;
- use the Platform to send unsolicited marketing or spam;
- misrepresent your identity, your company or your relationship with any third party.
10. Intellectual property
The Platform, including its design, text, graphics, logos and software, is owned by or licensed to S-DESIGN and is protected by intellectual property laws. You may not copy, reproduce, modify or distribute it except as permitted by law or with our written permission.
You keep ownership of the content you submit. By submitting content, you grant us a non-exclusive licence to use, store, reproduce and share it as needed to operate the Platform and fulfil your request or application — for example, sharing a buyer's requirement with relevant suppliers.
11. Third-party content and links
The Platform may contain information provided by suppliers or links to third-party websites. We do not control and are not responsible for third-party content, products or services. Following a third-party link is at your own risk and subject to that third-party's terms.
12. Availability and changes
We aim to keep the Platform available, but we do not guarantee uninterrupted or error-free operation. We may suspend, withdraw or change all or part of the Platform for maintenance, security or business reasons, and we may remove content that breaches these Terms.
13. Suspension and termination
We may suspend or terminate your access to the Platform if you breach these Terms, if we are required to do so by law, or if your use creates risk or legal exposure for us or other users. You may stop using the Platform at any time. Provisions that by their nature should survive termination will continue to apply.
14. Disclaimers
To the fullest extent permitted by law, the Platform is provided “as is” and “as available”. We exclude all warranties and representations, express or implied, including any implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Platform will be uninterrupted, secure or free from errors, or that any information on it is complete or accurate.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
15. Limitation of liability
To the fullest extent permitted by law, S-DESIGN is not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business, data or goodwill, arising out of or in connection with your use of the Platform.
To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with the Platform is limited to the greater of the amounts you paid us for the relevant service in the twelve months before the claim, or one hundred euros (EUR 100).
16. Indemnity
You agree to indemnify and hold S-DESIGN harmless from claims, losses, liabilities and reasonable costs arising from your breach of these Terms, your misuse of the Platform, or content you submit that infringes the rights of a third party.
17. Governing law and jurisdiction
These Terms are governed by the laws of Bosnia and Herzegovina, without prejudice to any mandatory statutory protections that apply to you.
18. Dispute handling
If a dispute arises, please contact us first at legal@hospisourcing.com so we can try to resolve it informally. Disputes between a buyer and a supplier are a matter for those parties, as we are not a party to their agreement.
19. Changes to these Terms
We may update these Terms from time to time. The current version is published on this page with the date it was last updated. If you continue to use the Platform after changes take effect, you accept the updated Terms.
